Introduction to Gulf Fulfilment's Terms and conditions
- Subcontractor Services Agreement
This Subcontractor Services Agreement (the “Agreement”) is entered into between Gulf Fulfillment (“GF”) and the Subcontractor (collectively, the “Parties,” and each individually, a “Party”). The Parties agree to the following terms for services provided by subcontractors:
Recitals
- Gulf Fulfillment seeks to engage the Subcontractor to perform specific services.
- Subcontractor agrees to provide such services in accordance with the terms and conditions of this Agreement.
Terms of Agreement
Services Provided: The Subcontractor agrees to provide the services as outlined in the project specifications provided by Gulf Fulfillment. These services must be executed in a timely and professional manner.
Compensation: Gulf Fulfillment agrees to compensate the Subcontractor according to the payment terms specified in individual project agreements. Payment will be made within 30 days of receipt of invoice and completion of services.
Independent Contractor: The Subcontractor is an independent contractor and not an employee of Gulf Fulfillment. Subcontractor shall not represent themselves as an employee or agent of Gulf Fulfillment.
Insurance & Liability: The Subcontractor must carry and maintain all required insurance coverage, including general liability, workers’ compensation, and auto liability as applicable. Gulf Fulfillment is not responsible for any liabilities arising from the actions of the Subcontractor.
Termination: Either Party may terminate this Agreement with 30 days’ written notice. However, any work completed up until the termination date will be compensated.
Governing Law: This Agreement shall be governed by the laws of the jurisdiction in which Gulf Fulfillment operates.
- Terms & Conditions for Transportation Services
These terms and conditions (“Terms”) govern the provision of transportation services by Gulf Fulfillment (“GF”). By using our transportation services, you (“Client”) agree to the following terms:
Service Scope: Gulf Fulfillment provides freight transportation services, including the coordination of shipments for both D2C and B2B clients.
Rates & Charges: All charges and rates for transportation services will be provided in a written quote or rate confirmation prior to service execution. Any additional charges (e.g., accessorial charges, fuel surcharges) will be billed separately.
Insurance: Gulf Fulfillment ensures that all carriers possess adequate insurance coverage as per industry standards, but Gulf Fulfillment itself is not liable for cargo damage unless such damages occur due to GF’s negligence.
Liability: Gulf Fulfillment is not responsible for any delays caused by third-party carriers, weather, or other force majeure events beyond GF’s control.
Payment Terms: Payment is due within 30 days of invoice receipt. Late payments may result in additional charges.
Termination: Either Party may terminate the agreement for transportation services with 30 days’ notice.
Dispute Resolution: Any disputes arising from the use of Gulf Fulfillment’s transportation services will be resolved through arbitration in accordance with applicable laws.
- Terms & Conditions for Customs Brokerage & Importer of Record Services
These Terms and Conditions govern the provision of customs brokerage and Importer of Record (IOR) services by Gulf Fulfillment (“GF”). By engaging in these services, you agree to the following:
Services Provided: Gulf Fulfillment offers customs clearance and IOR services, ensuring that all shipments comply with the import/export regulations of the country of origin and destination.
Compliance: The Client is responsible for providing accurate and complete documentation required for customs clearance. Gulf Fulfillment shall not be liable for fines, delays, or penalties resulting from incomplete or inaccurate information provided by the Client.
Fees: Service fees for customs brokerage and IOR services will be based on the complexity of the shipment and quoted in advance.
Insurance: Gulf Fulfillment recommends that clients secure cargo insurance. GF will not be responsible for loss or damage unless such is directly caused by its own actions.
Governing Law: All customs services provided will comply with the laws and regulations of the relevant jurisdiction.
- Terms & Conditions for Warehouse Services
These Terms govern the use of warehouse services provided by Gulf Fulfillment (“GF”). By storing goods in our facilities, you (“Client”) agree to the following:
Storage Services: Gulf Fulfillment provides warehousing services, including the receipt, storage, and dispatch of goods.
Storage Fees: Fees for warehousing services will be based on the volume and duration of storage and are provided in the service agreement.
Liability: Gulf Fulfillment will take reasonable precautions to safeguard stored goods but is not liable for damage caused by natural disasters, theft, or force majeure. Clients are encouraged to secure their own insurance for stored items.
Term & Termination: Either Party may terminate the warehousing agreement with 30 days’ written notice.
- Terms & Conditions for Carrier Services
These terms apply to all carrier services provided by Gulf Fulfillment (“GF”). The carrier (“Carrier”) agrees to comply with the following conditions:
Carrier Obligations: Carrier is responsible for transporting goods in accordance with the agreed schedule and must comply with all applicable laws, regulations, and safety standards.
Insurance: Carrier must maintain adequate insurance for cargo, general liability, and auto liability. Proof of insurance must be provided upon request.
Payment Terms: Gulf Fulfillment will pay Carrier within 30 days of receipt of invoice and proof of delivery. Any disputes must be raised within 10 days of payment.
Termination: This agreement may be terminated by either Party with 30 days’ written notice, provided that all pending shipments are completed or transferred to another carrier.
Governing Law: This agreement is governed by the laws of the jurisdiction in which Gulf Fulfillment operates.
- Terms & Conditions for Co-Brokerage Services
These Terms govern co-brokerage services between Gulf Fulfillment (“GF”) and its co-broker partners. Both parties agree to the following:
Cooperation: Both Parties agree to collaborate in arranging the transportation of goods for mutual clients. The co-broker providing the customer is designated as Broker A, and the co-broker arranging transportation is designated as Broker B.
Responsibilities of Broker B: Broker B is responsible for selecting carriers, ensuring carrier compliance with regulations, and maintaining communication with both the carrier and Broker A.
Payment Terms: Broker A is responsible for billing and collecting payment from the customer. Broker B will be compensated within 30 days of receiving proof of delivery and invoice.
Non-Solicitation: Neither Party will solicit clients introduced by the other Party during the term of this agreement and for one year after its termination.
- Gulf Fulfillment – Personal Data Protection Laws Compliance
This section outlines Gulf Fulfillment’s commitment to compliance with personal data protection laws in Turkey, including the Turkish Personal Data Protection Law No. 6698 (KVKK).
Data Collection: Gulf Fulfillment collects and processes personal data in accordance with Turkish law, ensuring transparency and protection of personal data.
Purpose of Processing: The data collected will be used solely for fulfilling contractual obligations, including communication, invoicing, and service execution.
Data Protection Rights: Clients and subcontractors have the right to access, amend, or delete their personal data stored by Gulf Fulfillment. Requests can be made by contacting Gulf Fulfillment via email or phone.
Security Measures: Gulf Fulfillment takes appropriate security measures to protect personal data against unauthorized access, alteration, disclosure, or destruction.
Breach Notification: In the event of a data breach, Gulf Fulfillment will notify affected parties within 72 hours and will take immediate steps to mitigate the impact of the breach.
By utilizing Gulf Fulfillment’s services, Clients and Partners agree to comply with the terms and conditions outlined above. All agreements may be amended or updated as necessary to reflect changing legal requirements and business practices.
